The ADL can help you to legally set up your company in only 48 hours. The legal form is Sociedad Limitada Nueva Empresa (SLNE), meaning Limited Society - New Company. This type of company is similar to the regular Sociedad Limitada; the difference is simplified accounting requirements, and the existence of fiscal benefits for its creation.
Main points defining a SLNE:
- Founding partners are limited to a maximum of 5. They have to be persons, they cannot be other companies. A one-only founder SLNE is acceptable.
- Minimum initial investment is 3,012 €. Maximum is 120,202 €. This amount has to be completely paid, using money, at the moment of foundation.
- The activity definition is always a non-detailed, generic one, which allows a modification in the company's activity without the need to make a costly modification of its published governing rules.
- The company's name consists of the name of one of the founders plus a code. This can be changed later.
- Public governing rules made according to a standard model are acceptable. The use of these standard rules will reduce the delay at Notary and Registration offices to a maximum of 24 hours each.
- There are two ways to create the SLNE: online from the ADL, and in person.
- You will receive a form for accounting. The form is adapted to the reality of very small businesses, and fulfils the authorities accounting and fiscal requirements. You can use the information also as a management tool.
